These Terms of Use ("Terms") form a legally binding agreement between you (the "Client" or "you") and GlobeData ("Company", "we", "our" or "us") regarding your access to and use of our proxy and data-collection services (the "Service"). By registering an account, clicking "Accept" or using any part of the Service you acknowledge that you have read, understood and agree to be bound by these Terms and any policies referenced herein.
If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms and that "you" includes that organisation. You must be at least 18 years old to use the Service. If you do not agree to these Terms, do not access or use the Service.
To access the Service you must complete our registration process and create an Account. You agree to provide accurate, current and complete information and to update it as needed. We may require you to complete know-your-customer (KYC) and anti-fraud checks: you may be asked how you will use the proxies and to supply additional documentation. If you refuse to complete verification or provide false or insufficient information, we may deny or suspend access to the Service.
You are responsible for all activities that occur under your Account. You must keep your credentials confidential and promptly notify us of any unauthorised use. We are not liable for any loss or damage arising from unauthorised access resulting from your failure to safeguard your Account.
Subject to your compliance with these Terms and the payment of applicable fees, the Company grants you a non-exclusive, non-transferable, revocable licence to access and use the System solely for your own lawful business or personal purposes. The licence does not allow resale, sublicensing or other commercial exploitation of the Service. The Company reserves all rights not expressly granted.
You agree to use the Service only for legitimate purposes and in compliance with all applicable laws and third-party rights. Without limiting the generality of the foregoing, you must not, and must not assist or enable others to:

Upon termination the licence granted under these Terms will cease immediately and you must cease all use of the Service. Termination does not relieve you of your obligation to pay any accrued fees. We may retain and use your Client Data as described in our Privacy Policy.
You agree to pay all fees and charges specified in your order or on our pricing page. Fees are exclusive of taxes and you are responsible for any applicable taxes, duties or levies. We may change our prices or institute new charges upon prior notice; price changes do not affect already-purchased subscriptions. Payments may be processed by authorised third-party payment processors (e.g. Paddle or Coinbase); your use of their services is subject to their terms. Credits purchased through the Service may expire if unused and are non-refundable.
The Service, including all software, documentation, IP addresses, databases and content provided by us, is owned by the Company and protected by copyright and other intellectual property laws. You acquire no rights other than those expressly granted in these Terms. You may not copy, modify, distribute, display, sell, decompile, reverse engineer or otherwise exploit any part of the Service without our prior written consent. Any feedback or suggestions you provide may be used by us without obligation.
The Service may allow you to access or use Third-Party Content. We do not control and are not responsible for such content. Accessing third-party sites or services is at your own risk. We do not guarantee or assume any liability for the accuracy, legality or quality of external websites. We recommend reviewing the terms and policies of any third-party sites before interacting with them.
The Service and all related content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we and our suppliers and partners make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement or accuracy. We do not warrant that the Service will be uninterrupted, error-free or secure, that defects will be corrected or that the Service will meet your requirements.
To the maximum extent allowed by law, our total liability to you for any claim relating to the Service is limited to the amount you paid to us for the Service during the one-month period preceding the event giving rise to the claim. We will not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of use, data, goodwill, profits or revenue, whether in contract, tort or otherwise, even if advised of the possibility. We are not liable for the conduct of third parties.
You agree to indemnify, defend and hold harmless the Company, its affiliates, directors, employees and contractors from and against any claims, damages, losses, liabilities and expenses (including legal fees) arising from or relating to your (a) use of the Service, (b) violation of these Terms or applicable law, (c) interaction with Third-Party Content, or (d) infringement of any intellectual property or other rights of another.
We are not responsible for any delay or failure to perform due to events beyond our reasonable control (force majeure), including natural disasters, war, terrorism, labour disputes, Internet outages or governmental orders. In such circumstances, our obligations will be suspended and we will endeavour to minimise the impact.
These Terms are governed by and construed in accordance with the laws of the State of Israel. Any disputes arising out of or relating to the Service shall first be attempted to be resolved amicably. If not resolved, disputes will be subject to the exclusive jurisdiction of the courts located in Israel. Nothing prevents either party from seeking injunctive or equitable relief to protect its rights.
We may update these Terms from time to time to reflect changes to our Service or legal requirements. If we make material changes, we will notify you via the Service or email. Updated Terms become effective when posted. Continued use of the Service after the effective date constitutes your acceptance of the changes.
